Terms of Service

1. Description of Service

VIB AI is a mobile application that provides AI-powered agents and chat functionality. User inputs ("User Input") may be processed by one or more third-party AI model providers or AI infrastructure providers selected by us or made available within the App. Depending on the model you use, these providers may include OpenAI, Google, Anthropic, xAI, DeepSeek, ByteDance, Alibaba Cloud / Tongyi Qianwen, Tencent Hunyuan, Moonshot AI (Kimi), MiniMax, Zhipu AI (GLM), and other comparable providers. Model availability may change from time to time.

To help the AI understand your requests, the App may temporarily access information about your screen content, which may include descriptive text or screenshots that you voluntarily provide. This screen content is not stored on our servers and is processed only temporarily to provide the requested service and is immediately deleted afterward. By using the App, you consent to this temporary processing of screen content.

Users cannot upload images, files, screenshots, or voice content through the chat feature.

AI-generated responses may be inaccurate, incomplete, outdated, or unsuitable for your specific situation. They do not constitute professional advice (e.g., legal, financial, or medical). You are fully responsible for reviewing, verifying, and supervising any outputs generated by the Service.

2. Use License

Subject to your compliance with these Terms, VIB AI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the App for your personal, non-commercial purposes on a mobile device that you own or control.

3. User Responsibilities and Conduct

User Responsibility: You acknowledge and agree that you are solely responsible for all input you provide to the App ("User Input") and the consequences of its processing by the AI agents. You should use the App under your direct supervision and control. Do not leave the App operating unattended.

You agree not to use the App to:

• Violate any applicable national or international law or regulation, including laws regarding data or software export.
• Submit task descriptions or content that are unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Submit task descriptions that would infringe on any patent, trademark, trade secret, copyright, or other proprietary rights of any party. You represent and warrant that you have all necessary rights to request the actions submitted.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Transmit any material containing viruses or other malicious code designed to disrupt, damage, or limit the functionality of software, hardware, or telecommunications equipment.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the App, its servers, or any connected systems.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the App.
• Use the App for any commercial purposes without our express written consent.

You are solely responsible for the User Input you submit and the consequences of its processing by the App.

4. Intellectual Property

The Service: The App, its original content (excluding User Input and Output), features, and functionality are the exclusive property of VIB AI and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

User Input: You retain all ownership rights to the task descriptions, questions, and other input you submit.

Output: The AI agents process your input to generate responses. You acknowledge that the App only processes your input and you are responsible for the use of the outputs.

License to Us: By submitting User Input to the Service, you grant VIB AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Input solely for the purpose of operating, providing, and improving the App (e.g., to process your task descriptions and generate AI responses).

5. Third-Party Services

The Service relies on certain third-party services to operate:

• AI Model Providers and Infrastructure: To provide AI chat and task execution functionality, your inputs may be sent to one or more AI model providers (OpenAI, Google, Anthropic, xAI, DeepSeek, ByteDance, Alibaba Cloud / Tongyi Qianwen, Tencent Hunyuan, Moonshot AI, MiniMax, Zhipu AI, and others). These providers process your data to generate responses. Data handling is subject to their terms and privacy policies.
• Appsflyer: Used for analytics to help understand App usage, improve performance, and optimize user experience. Data shared with Appsflyer is subject to their Privacy Policy.
• Apple App Store and Google Play: If you purchase a subscription, payments are processed by the relevant platform. We do not store full payment card information, only limited subscription and transaction metadata (subscription status, order ID, amount, currency, purchase/renewal date, platform).

We are not responsible for practices or content of these third-party services.

6. Subscription and Payment

1. Purchase of Subscriptions

• Users may purchase subscriptions to access premium features of the App via Apple In-App Purchase (iOS devices) or Google Play Billing (Android devices).
• All subscription purchases are processed directly by the relevant platform (Apple or Google). VIB AI does not receive, store, or process your full payment card details.
• We only receive limited subscription and transaction metadata, including: subscription status, product type, order/transaction ID, purchase date, renewal date, amount, currency, and platform. This information is used solely to manage your subscription and provide paid features.

2. Subscription Duration and Renewal

• Subscription plans may be recurring (auto-renewing) unless explicitly cancelled.
• Renewal occurs automatically at the end of each subscription period through Apple/Google platform billing, at the same price and terms unless otherwise specified by the platform.
• Users are responsible for managing subscription renewal settings via their Apple or Google account.

3. Cancellation

• Users may cancel subscriptions at any time via Apple or Google account settings.
• Cancellation takes effect at the end of the current billing period, and access to premium features will continue until the subscription expires.
• VIB AI does not process cancellations directly; all cancellation requests must go through the platform where the subscription was purchased.

4. Refunds

• Refunds for subscription purchases are handled exclusively by Apple or Google according to their respective policies.
• VIB AI does not provide refunds for subscription payments. Users must refer to the applicable platform's refund procedures.

5. Data Handling and Privacy

• Subscription and transaction metadata collected by VIB AI is used only for:
• verifying subscription status,
• enabling access to premium features,
• resolving technical or billing issues,
• complying with legal, tax, or accounting obligations.
• We do not share your personal payment details with third parties except where necessary for legal, regulatory, or tax purposes.

6. Changes to Subscription Terms

• Subscription pricing, features, and availability are subject to change at VIB AI's discretion, in accordance with Apple and Google platform rules.
• Users will be notified of significant changes through the App or the relevant platform, and continued use of the subscription constitutes acceptance of any changes.

7. Legal Compliance

• All subscription-related processing complies with applicable laws, including tax, accounting, and consumer protection regulations.
• VIB AI retains subscription and transaction metadata as required by law, even after account deletion, for purposes such as audit, tax compliance, or legal obligations.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis. Your use is entirely at your own risk.

We do not warrant that AI-generated outputs are accurate, reliable, complete, or suitable for any particular purpose. Outputs do not constitute professional advice. You must review, verify, and supervise any AI-generated content.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIB AI, its directors, employees, partners, agents, suppliers, or affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including AI outputs or subscription services.

9. Indemnification

You agree to defend, indemnify, and hold harmless VIB AI, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, demands, losses, liabilities, damages, costs, or expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of or access to the Service, including AI chat, task execution, and any features provided through the App;
• Any User Input you submit, including the content, task descriptions, or questions you provide to AI agents;
• Any breach or alleged breach of these Terms, including violation of any applicable law, regulation, or third-party right;
• Your violation of intellectual property rights, privacy rights, or other legal or contractual rights of any person or entity;
• Any unauthorized or unlawful use of the Service by you or by anyone using your account credentials.

This indemnification obligation applies regardless of whether the claim arises from actions performed by AI agents in response to your inputs, subscription services, or any related App functionality. You agree to cooperate fully with VIB AI in the defense of any claim.

10. Termination

VIB AI may terminate or suspend your access to the Service, in whole or in part, immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms;
• Unauthorized or illegal use of the Service;
• Suspected fraudulent activity, security breaches, or misuse of the App.

Upon termination or suspension:

• You must immediately stop using the Service;
• Any licenses granted under these Terms will terminate;
• User accounts deletion does not necessarily remove subscription, financial, or transaction records if legally required to retain them for tax, accounting, audit, or regulatory purposes;
• AI outputs generated prior to termination may still exist in system logs or backups as required for operational or legal reasons.

Termination does not affect any obligations or liabilities that accrued prior to termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without giving effect to any conflict of law principles.

• Any failure or delay by VIB AI in enforcing its rights under these Terms shall not constitute a waiver of those rights.
• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Dispute Resolution

• You agree to first attempt to resolve any dispute or claim arising out of or relating to these Terms or the Service informally by contacting VIB AI at support@vibai.com.
• For users located in the European Union, you may also submit disputes via the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.
• These procedures do not prevent you from pursuing legal remedies if required by law, including statutory consumer protection rights.

13. Changes to Terms

VIB AI reserves the right, at its sole discretion, to modify, update, or replace these Terms at any time.

• Any changes will be effective immediately upon posting within the App or on the VIB AI website, unless a later effective date is specified.
• Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
• If you do not agree to the updated Terms, you must immediately stop using the Service and uninstall the App.

15. Entire Agreement

• These Terms constitute the entire agreement between you and VIB AI regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, or representations, whether electronic, oral, or written.
• No additional terms, conditions, or agreements, whether stated in promotional materials or otherwise, will modify or override these Terms unless expressly agreed to in writing by VIB AI.
